Terms of Service

Effective date: 2026-10-19

Revision notice (posted 2026-10-12): with the memepad multichain wallet, memepad addendum 4 (multichain wallet) is added to the Terms and section 4 of the Risk Notice (choosing the network) is updated, effective 2026-10-19. If you do not agree, you may stop using the Service before that date. Revision notice (posted 2026-10-13): with coins traded in MPAD, memepad addendum 5 (coins traded in MPAD) and one paragraph of MemeTerminal addendum 3 are added to the Terms, effective 2026-10-20. If you do not agree, you may stop using the Service before that date.

These Terms set out the conditions and procedures for using memepad (the memepad.lol website and mobile app) and MemeTerminal (terminal.memepad.lol) (together, the “Service”) operated by Arena Technologies Inc. (the “Company”), and the rights, obligations and responsibilities of the Company and users.

Please read these Terms, the Risk Disclosure and the Privacy Policy before using the Service. By using the Service you agree to these Terms.

1. Definitions

  • “Service”: the memepad website and app and MemeTerminal operated by the Company, including their screens and APIs.
  • “User”: anyone who uses the Service under these Terms.
  • “Wallet”: a Solana blockchain address whose private key is controlled by the User, including embedded wallets created through the login provider (Privy) and external wallets such as Phantom or Solflare.
  • “Digital assets”: tokens recorded on the Solana blockchain, including SOL, coins launched on the Service and the memepad token (MPAD).

2. Posting and changes

The Company posts these Terms on the Service (/terms on each website). The Company may amend these Terms to the extent permitted by law and will announce the effective date and reason on the Service at least 7 days in advance (30 days for changes unfavourable to Users).

If you do not agree to the amended Terms you may stop using the Service. Continuing to use the Service after the announced effective date means you accept the amended Terms.

3. Nature of the Service — non-custodial software

  • The Service is a software interface that helps you build and sign blockchain transactions with your own wallet.
  • The Company does not hold or manage your private keys or digital assets and cannot sign or reverse transactions on your behalf.
  • The Company is not a counterparty to your trades and does not broker digital-asset trades or provide investment advice or discretionary management.
  • Prices, market caps, volumes and other information shown on the Service are for reference only and are not a recommendation to buy or sell any digital asset.

4. Eligibility

You must meet applicable laws and any age and region requirements the Company separately announces on the Service. You may not use the Service where trading digital assets or using the Service is prohibited by the laws of your place of residence.

5. Wallet and account security

  • You are responsible for safeguarding your wallet's private key or recovery phrase and your login method (email or social account).
  • The Company cannot recover losses caused by lost or leaked keys, phishing, or malware on your device.
  • Embedded wallet creation and authentication are handled by a third-party provider (Privy), whose terms and policies also apply.

6. Third-party protocols and services

The Service relies on third-party protocols and services the Company does not control, including the Solana network, Meteora (bonding curve and DAMM pools), Jupiter (swap routing), GeckoTerminal (market data), RPC providers and wallet providers.

Unless caused by the Company's intent or negligence, the Company is not liable for results arising from errors, outages, changes or exploits of third-party protocols, network congestion and fee changes, or delays and errors in third-party data.

7. Fees

Fees and prices for paid features such as trading, launching and advertising (boosts) are shown on screen before you execute them. You bear blockchain network fees and third-party protocol fees.

Because confirmed blockchain transactions cannot be reversed, fees for confirmed transactions are non-refundable unless stated otherwise on screen.

8. Prohibited conduct

You must not:

  • manipulate markets, wash trade, collude on trades or spread false information;
  • impersonate any person, organisation or brand, or create coins or content that infringe trademarks, copyrights, publicity or other rights;
  • commit fraud, launder money, evade sanctions or otherwise break the law;
  • hack the Service or disrupt its operation by abnormal means (including abusive automation);
  • post obscene, violent, hateful or otherwise unlawful content.

9. Restrictions

If you breach these Terms or the law, the Company may stop displaying the relevant content or restrict your use of the Service. Transactions and tokens recorded on the blockchain cannot be changed or deleted by the Company.

10. Acknowledgement of risk

Digital assets are highly volatile, and nothing on the Service is investment advice. You use the Service at your own judgement after reading the Risk Disclosure (/risk), and the results of your trades are yours.

11. Limitation of liability

  • The Company is not liable for failure to provide the Service due to causes beyond its control, such as natural disasters, blockchain network failures or third-party service outages.
  • The Company is not liable for losses from price movements of digital assets, your investment decisions, or trades between users or between you and third parties.
  • This does not apply to damage caused by the Company's intent or gross negligence, or where liability cannot be limited under applicable law.

12. Changes to and suspension of the Service

The Company may change or suspend all or part of the Service for operational or technical reasons and will give prior notice on the Service where users are materially affected. Even if the Service is suspended, your digital assets remain in your wallet and can be accessed with other wallet software.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Korea. Disputes relating to the Service shall be brought before the court having jurisdiction under the Korean Civil Procedure Act.

14. Contact

Send questions about the Service or these Terms to the email address in the company information below.

Supplementary provisions

MemeTerminal addendum 1 (Market data)

Screener, chart and trade-history data come from third parties (GeckoTerminal, blockchain RPCs and others) and may be delayed, incomplete or wrong. Check the final details on your wallet's signing screen before trading.

MemeTerminal addendum 2 (Swap routing)

Swaps of graduated coins and other tokens are routed by Jupiter; memepad coins that have not graduated trade directly on the Meteora bonding curve. Quotes can change at execution, and a swap either fills within the slippage you set or fails. Any platform fee is shown in the swap panel.

MemeTerminal addendum 3 (Operator-issued token)

The memepad token (MPAD) traded on the /mpad page was issued by the Company, and the Company holds MPAD and therefore has an interest in it. Holdings are as stated in the notice on the /mpad page.

(Effective 2026-10-20) A memepad coin launched to trade in MPAD trades, after graduation, in a pool paired with MPAD, and its price moves with the price of MPAD.
